1. General Information

These Terms of Use govern the granting of rights of use to the “BASF App” mobile application (“BASF App”) developed by BASF SE, 67056 Ludwigshafen, Germany (“BASF”) and provided via the Apple App Store / Google Play Store. These Terms of Use are consequently a component of all contracts and agreements regarding the use of the BASF App offered by BASF via the Apple App Store / Google Play Store between BASF and a user who wishes to download and use the BASF App on a suitable terminal device (“User”) except where otherwise agreed in an individual agreement.

2. License to Use the BASF App

2.1 General Provisions

Use of the BASF App, which the User wishes to download via the Apple App Store / Google Play Store, requires prior consent to these Terms of Use by the User. The User is aware that in addition to these Terms of Use of BASF, it may be necessary to comply with further terms of use of the Apple App Store / Google Play Store operator, which take precedence over these Terms of Use, and that BASF has no influence on such further terms of use and consequently assumes no responsibility therefor.

Downloading the BASF App requires suitable terminal devices and Internet access, through which costs for the connection to the Apple App Store / Google Play Store may be incurred.

2.2 Maintenance and Support for the BASF App

BASF is not obligated to update and/or upgrade the BASF App and/or to offer regular updates and/or upgrades. If, however, BASF provides downloadable updates and/or upgrades for the BASF App, the User is obligated to install these in order to receive information that is as up-to-date as possible. Otherwise, BASF cannot warrant that the BASF App will function properly, or that the information provided reflects the current status. Should the User not install an update and/or upgrades that is provided, but continue to use the old version of the BASF App nonetheless, the User thereby waives any claims regarding defects and claims for payment of damages to which he or she may be entitled.

2.3 Intellectual Property; Trademarks

The BASF App, graphics, video clips, diagrams, photos and illustrations, user interfaces, audio clips, and editorial content contain protected content and materials of BASF or third parties. All rights thereto are held by BASF or third parties. This applies even if the User modifies the BASF App or combines it with the User’s own programs or those of a third party. If and insofar as content of the BASF App contains intellectual property of third parties, it is warranted that BASF has properly obtained such intellectual property from third parties and is authorized to use it and license it to further parties within the scope of the BASF App. The User is not authorized to use any such protected content or materials in any manner whatsoever except within the scope of the use of the BASF App as intended in accordance with these Terms of Use.

The “BASF” word mark, the BASF logo and other trademarks used in connection with the BASF App are trademarks used or registered by BASF. Other trademarks used in connection with the BASF App may be the trademarks of other rights holders. In this regard, BASF reserves all rights in and to the BASF App that have not been expressly granted to the User under these Terms of Use. The User is consequently granted no rights and no licenses with regard to the aforementioned trademarks and their use within the scope of the BASF App.

2.4 Third-Party Websites; Disclaimer

Hyperlinks to third-party websites may be contained within the scope of the BASF App. BASF does not endorse either these third-party websites or their content. In all cases, the respective provider or operator of the sites in question is responsible for the content of the sites linked to. The sites linked to were reviewed for possible legal violations at the time of placement of the link. Unlawful content was not ascertainable at the time of placement of the link. Ongoing monitoring of the content of the sites linked to is, however, not reasonable without concrete reason to suspect a legal violation. BASF will remove such links immediately if it becomes aware of any legal violations. Furthermore, BASF is not responsible for the availability of these websites or their content. The use of hyperlinks to these websites is at the User’s own risk. In this context, BASF is not liable for damage or losses occurring through or as a result of the use of third-party websites. The use of links to outside websites is therefore at the User’s own risk.

2.5 Rights of Use

a. Scope of License Subject to acknowledgement of and compliance with these Terms of Use by the User, BASF hereby grants the User a free, non-exclusive, non-transferrable right of use of the BASF App, unlimited in term (“License”) to use the BASF App as intended and within the scope necessary for such purpose on any number of / one suitable terminal devices.

Beyond the scope provided in sections 69c et seq. of the German Copyright Act (UrhG), the User is not permitted to copy, decompile, reverse-engineer, or disassemble the BASF App, any updates and/or upgrades to the BASF App, or any portions thereof, or to attempt to obtain the source code of the BASF App, modify the BASF App, or create derivative works based on the BASF App. (unless and to the extent one of the foregoing restrictions is invalid according to applicable law or the license terms that regulate the use of an Open Source component as a part of the BASF App permit such actions).

Unless otherwise provided in these Terms of Use, the User is not permitted to sell or distribute the BASF App or to make the BASF App available via a network through which the BASF App can be used by multiple devices simultaneously. The User is not permitted to rent or lease, lend, sell, transfer, resell or redistribute, or sublicense the BASF App. If the User sells the terminal device on which he or she has downloaded the BASF App to a third party, the User must remove the BASF App from the suitable device prior to sale.

The provisions of these Terms of Use also apply to all updates and/or upgrades that are made available by BASF and replace or supplement the original BASF App, unless such an update and/or upgrade is subject to separate terms of use. In this case, the update and/or upgrade is subject to the provisions of such separate terms of use.

b. Export Control The User is not permitted to use the BASF App or otherwise export it or re-export it except as permitted by the laws of the USA and those of the country in which the BASF App was acquired. In particular, the BASF App is not permitted to be exported or re-exported to (a) countries embargoed by the USA or (b) persons who are listed on the list of “Specially Designated Nationals” of the U.S. Treasury Department or the “Denied Persons” or “Denied Entity” list of the U.S. Department of Commerce. By using the BASF App, the User affirms that he or she is not located in any of these countries and is not listed on any of these lists. The User shall not use the BASF App for purposes that are prohibited under the laws of the USA, particularly not to develop, design, manufacture or produce nuclear weapons, missiles, or chemical or biological weapons.

2.6 Open Source Components

The BASF App includes Open Source-Components of third party suppliers which are subject to separate terms and conditions. The Open Source-Components used / embedded in the BASF App are the following:

The User is obliged to comply with the aforementioned separate terms and conditions with regard to the Open Source-Components. In case of conflicts between these Terms of Use for BASF Apps and the terms and conditions of the respective Open Source-Component the latter shall take precedence.

The Open Source-Components are provided to the User expressly at no charge – regardless of the rest of the remaining components of the BASF App.

The User acknowledges and agrees that with regard to the Open Source-Components BASF does not assume any liability for warranty or damages that may have been caused by the Open Source-Component. With regard to any such claims reference is made to the aforementioned terms and conditions of the applicable Open Source-Component.

2.7 Data Protection

Since data protection is a high priority at BASF, BASF complies stringently with the applicable provisions, in particular with the General Data Protection Regulation, when collecting, using, and processing personal data. If and to the extent not informing otherwise about the specific processing of personal data by BASF as controller, such information is provided on basf.com/data-protection-eu.

2.8 Termination; Discontinuation of Rights of Use

This License remains in effect until termination by the User or by BASF. Both, user and BASF may terminate this License any time. The User may terminate this License with BASF at any time without cause by deactivating / deleting the BASF App from the terminal device and discontinue the usage of the services.

The rights of use granted pursuant to these Terms of Use will lapse in the event of notice of termination, such that the User is no longer entitled to use the BASF App. Upon termination the User must discontinue any use of the BASF App and destroy or delete any copies, in whole or in part.

2.9 Industrial Property Rights of Third Parties

BASF warrants that the BASF App is free of third-party rights that restrict or preclude use thereof in accordance with these Terms of Use. If the use thereof as agreed is adversely affected by industrial property rights of third parties, BASF has the right to either modify the BASF App such that the adverse effect no longer applies or to obtain authorization for the BASF App to be used in accordance with the Terms of Use, without limitation and without additional costs to the User.

BASF’s warranty obligation with regard to third-party industrial property rights is limited in any event to the BASF App and does not extend to third-party software that is necessary for the functionality of the BASF App.

In all cases, the User is obligated to notify BASF in writing without delay if any claims regarding infringement of third-party industrial property rights are asserted vis-à-vis the User.

2.10 Warranty

The User shall have no warranty claims regarding defects in the BASF App unless BASF has concealed the defects through deceit.

2.11 Limitation of Liability

BASF provides the BASF App with appropriate care, and merely on an “as is” basis. BASF makes no representations or warranties with regard to the BASF App. The User is, in particular responsible for making his or her own backups of his or her system, including the BASF App. BASF is liable for damage or losses occurring through or as a result of the use of the BASF App only in cases of intent and gross negligence.

2.12 Limitation of Claims

Any and all warranty claims, claims for damages, and claims to compensation for expenditures by the User shall become time-barred after one (1) year from installation of the BASF App. This limitation period does not apply if BASF has concealed a defect through deceit or is subject to compulsory liability on other legal grounds.

2.13 Changes to the BASF App

BASF reserves its right to change or modify the functionalities included in the BASF App or to offer deviating functionalities, unless this is unreasonable for the User (e.g. in case the User has acquired certain functionalities against charge).  

Furthermore, BASF reserves its right to change or modify the functionalities or to offer deviating functionalities in case

(a) BASF is obliged to make the offered functionalities compliant with applicable law, especially in case the legal situation changes;

(b) BASF is obliged to comply with a court decision or a decision of legal authorities;

(c) the modification or change is necessary in order to close security gaps

(d) the modification or change is solely advantageous for the User;

(e) the modification or change is purely technical or procedural in nature without substantial impact to the User.

Changes and modifications with only minor impact to the functions of the BASF App shall not be deemed to be considered changes to the BASF App in the meaning of this section. This applies in particular with regard to changes of pure graphical nature and the mere change of arrangement of functions.

2.14 Amendments and Changes to these Terms of Use

BASF reserves the right to amend these Terms of Use with regard to problems of equivalence or gaps / loopholes in the provisions hereof at any time and to subject the User’s use of the BASF App to new or further terms of use. However, the aforementioned amendments will expressly not be referring to the content of the services performed by BASF through the BASF App. Such amendments as well as the reasons for such amendments will be communicated to the User and will take effect without delay as soon as they have been accepted, and are then integrated into these Terms of Use. If and to the extent the User does not expressly disagree to such amendments within ten (10) calendar days as of the respective information the approval and consent of the User to these amendments will be deemed granted.

In the event that the User does not accept the amendments, BASF is permitted to terminate these Terms of Use with the User. Should the User not expressly accept the amendments, but continue to use the BASF App nonetheless, this is deemed to constitute tacit acknowledgement of the amendments as well.

3.& Specific product information, further terms of use

For users within BASF SE, the use of the BASF app shall be regarded as an “Event with personal contribution” within the meaning of the company agreement BV 75 3.1. Specifically, applicable when using the app during working hours:

• At the workplace/BASF place of learning: No time management-related signing off is required.
• Outside the BASF place of learning, particularly at home: No time is credited unless an agreement between the employee and manager exists concerning mobile working within the meaning of BV 31.

Use outside working hours is not considered as working hours and no time shall be credited. BASF infrastructure shall be used during working hours at the workplace/BASF place of learning.

Contractual obligations, such as maintaining confidentiality of company information, shall remain unaffected.

Reset authentication and password

Differentiating between the access options for BASF devices or private mobile devices ensures protection of the content from access by unauthorized parties. A one-time authentication of the users is required to start the BASF app. During the registration process, users shall be instructed to only use their BASF email address. To complete the registration, users shall open their BASF email mailbox and click the registration link. The email address will be deleted from the systems once registration is completed. To log in, users will be prompted to assign a self-selected user name or nickname and a password which complies with BASF’s security regulations. If the user has forgotten the password, it can be reset and retrieved in the BASF email mailbox. This app does not store any personal data.

Settings and personalization

Texts and videos are stored locally on the end devices once users select their desired language. Language settings can be changed by the users at any time. The users can personalize the BASF app via a self-test and by specifying a self-selected nickname. This sets the parameters for a learning recommendation locally on the end device and transfers them to BASF’s web service. If users change one or more parameters (e.g. language, nickname, etc.) in the settings, all entered parameters will be stored locally on the end device and the parameters will be transferred to the web service. If users work on the contents of individual chapters, the learning progress is updated locally on the end device and the parameters are transferred to the web service. Users can call up an overview in the Leaderboard module which displays an anonymized point ranking as a comparison to other users.

Learning status display

Users can track their individual learning progress in the BASF app. Supervisors or other users cannot see the learning status. Evaluations are only processed in anonymized form and do not serve as behavior or performance monitoring of the users.

Support

In case of questions concerning the BASF app, BASF users can contact HRdirect (at the Ludwigshafen site) and HRdirect Europe (for sites other than the Ludwigshafen site) or regional Shared Services.

Web Analytics

Web Analytics is a module which supplies information on how users use the app. This makes it possible to provide information and an analysis of the number of accessed websites by region, repeat access rates and the most frequently used websites.

4. Miscellaneous

These Terms of Use constitute the entire agreement between the User and BASF. These Terms of Use supersede any prior agreements between the User and BASF.

Should individual provisions of these Terms of Use be or become null and void or invalid in whole or in part, the validity of the remaining provisions shall be unaffected thereby. To replace terms of use that are invalid or fill the gap left by terms of use that are not included, BASF and the User shall, in the place of the null and void or invalid provision, agree upon a valid provision that most closely approximates the original provision from an economic standpoint unless supplementary contractual interpretation takes precedence or is possible.

Failure by BASF to assert a right or provisions of this Agreement does not constitute a waiver of such right or provision. BASF is not responsible for non-fulfillment of obligations for reasons not imputable to BASF.

These Terms of Use and the use of the BASF app are subject to German law, with the exclusion of the United Nations Convention on Contracts for the International Sale of Goods of April 11, 1980 (“CISG”) and the German conflict-of-laws rules.

1.    Allgemeines

Diese Nutzungsbedingungen regeln die Einräumung von Nutzungsrechten an den von der BASF SE, 67056 Ludwigshafen, Deutschland („BASF“) entwickelten und über den Apple App Store / Google Play Store bereitgestellten mobilen Anwendungen („BASF Apps“). Diese Nutzungsbedingungen sind folglich Bestandteil aller Verträge über die Nutzung der von BASF über den Apple App Store / Google Play Store angebotenen BASF Apps zwischen BASF und einem Nutzer, der die BASF App auf einem tauglichen Endgerät herunterladen und nutzen möchte („Nutzer“), sofern und soweit nicht in einem einzelnen Vertrag etwas anderes vereinbart ist.

 

2.    Lizenz für die Nutzung der BASF App

2.1   Allgemeines

Die Nutzung der BASF App, die der Nutzer über den Apple App Store / Google Play Store herunterladen möchte, bedarf der vorherigen Zustimmung zu diesen Nutzungsbedingungen durch den Nutzer. Dem Nutzer ist bekannt, dass neben diesen Nutzungsbedingungen der BASF noch weitere Nutzungsbedingungen des Apple App Store / Google Play Store / App Store Betreibers vorrangig zu beachten sein können, auf die BASF keinen Einfluss hat und für die BASF folglich keine Verantwortung übernimmt.

Das Herunterladen der BASF App erfordert taugliche Endgeräte sowie einen Internetzugang, durch den Kosten für die Verbindung zu dem Apple App Store / Google Play Store anfallen können.

 

2.2    Pflege und Unterstützung der BASF App

BASF ist nicht dazu verpflichtet, die BASF App zu aktualisieren und / oder regelmäßige Updates und/oder Upgrades anzubieten. Sofern BASF jedoch für die BASF App Updates und/oder Upgrades zum Download bereitstellt, ist der Nutzer verpflichtet, diese zu installieren, um möglichst aktuelle Informationen zu erhalten. Andernfalls kann BASF nicht gewährleisten, dass die BASF App ordnungsgemäß funktioniert oder zur Verfügung gestellte Informationen dem aktuellen Stand entsprechen. Sollte der Nutzer ein zur Verfügung gestelltes Update und/oder Upgrade nicht installieren, den alten Stand der BASF App gleichwohl weiterverwenden, verzichtet er damit auf etwaige ihm zustehende Mängel- und Schadensersatzansprüche.

2.3    Geistiges Eigentum, Marken

Die BASF App, Grafiken, Filmclips, Diagramme, Fotos und Illustrationen, Benutzeroberflächen, Audio-Clips sowie redaktionelle Inhalte enthalten geschützte Inhalte und Materialien der BASF oder von dritten Parteien. Alle Rechte daran stehen im Eigentum von BASF oder von dritten Parteien. Dies gilt auch dann, wenn der Nutzer die BASF App verändert oder mit seinen eigenen Programmen oder denjenigen eines Dritten verbindet. Sofern und soweit Inhalte der BASF App geistiges Eigentum von dritten Parteien enthalten, so wird gewährleistet, dass BASF dieses geistige Eigentum von dritten Parteien ordnungsgemäß erworben hat und dazu berechtigt ist, dieses im Rahmen einer BASF App zu verwenden und weiter zu lizenzieren. Der Nutzer ist nicht berechtigt, solche geschützten Inhalte oder Materialien auf irgendeine Weise zu nutzen, außer im Rahmen der bestimmungsgemäßen Nutzung der BASF App entsprechend dieser Nutzungsbedingungen.

Die Wortmarke „BASF“, das BASF-Logo und andere Marken, die im Zusammenhang mit der BASF App genutzt werden, sind benutzte oder registrierte Marken von BASF. Andere Marken, die im Zusammenhang mit der BASF App genutzt werden, können die Marken von anderen Rechteinhabern sein. BASF behält sich diesbezüglich alle Rechte in und an der BASF App, die dem Nutzer nicht ausdrücklich unter diesen Nutzungsbedingungen eingeräumt wurden, vor. Dem Nutzer werden folglich keine Rechte und keine Lizenzen bezüglich der vorgenannten Marken und deren Nutzung im Rahmen der BASF App eingeräumt.

2.4    Websites von Dritten, Haftungsausschluss

Im Rahmen der BASF App können Hyperlinks zu Websites von Dritten enthalten sein. BASF macht sich weder diese Websites von Dritten noch deren Inhalt zu Eigen. Für die Inhalte der verlinkten Seiten ist stets der jeweilige Anbieter oder Betreiber der Seiten verantwortlich. Die verlinkten Seiten wurden zum Zeitpunkt der Verlinkung auf mögliche Rechtsverstöße überprüft. Rechtswidrige Inhalte waren zum Zeitpunkt der Verlinkung nicht erkennbar. Eine permanente inhaltliche Kontrolle der verlinkten Seiten ist jedoch ohne konkrete Anhaltspunkte einer Rechtsverletzung nicht zumutbar. Bei Bekanntwerden von Rechtsverletzungen wird BASF derartige Links umgehend entfernen. Ferner ist BASF nicht verantwortlich für die Verfügbarkeit dieser Websites oder von deren Inhalten. Die Nutzung von Hyperlink-Verknüpfungen zu diesen Websites erfolgt auf eigenes Risiko des Nutzers. BASF haftet in diesem Zusammenhang nicht für Schäden, die durch oder in Folge der Verwendung der Websites von Dritten entstanden sind. Die Benutzung von Links zu fremden Webseiten erfolgt daher auf eigenes Risiko des Nutzers.

2.5    Nutzungsrechte

a. Umfang der Lizenz Vorbehaltlich der Anerkennung und Einhaltung dieser Nutzungsbedingungen durch den Nutzer räumt BASF hiermit dem Nutzer für die BASF App ein kostenfreies, nicht–exklusives und nicht–übertragbares sowie zeitlich unbefristetes Nutzungsrecht („Lizenz“) zum bestimmungsgemäßen Gebrauch der BASF App und in dem hierfür benötigten Umfang auf beliebig vielen / auf einem geeigneten Endgerät(en) ein.

Über den Umfang der §§ 69c ff. UrhG hinaus darf der Nutzer die BASF App, etwaige Updates und/oder Upgrades der BASF App oder Teile davon nicht kopieren, nicht dekompilieren, nicht zurückentwickeln, nicht auseinandernehmen, nicht versuchen, den Quellcode der BASF App zu erlangen, die BASF App nicht bearbeiten oder abgeleitete Werke aus der BASF App erstellen (es sei denn und soweit eine der vorgenannten Beschränkungen nach anwendbarem Recht unzulässig ist oder die Lizenzbestimmungen, die die Nutzung einer Open-Source-Komponente als Teil der BASF App regeln, dies erlauben).

Soweit in diesen Nutzungsbedingungen nichts Gegenteiliges geregelt ist, darf der Nutzer die BASF App nicht vertreiben oder über ein Netzwerk zur Verfügung stellen, über das diese von mehreren Geräten zur gleichen Zeit genutzt werden kann. Der Nutzer darf die BASF App nicht vermieten, verleihen, verkaufen, übertragen, weitervertreiben oder unterlizenzieren. Wenn der Nutzer sein Endgerät, auf welches er die BASF App heruntergeladen hat, an einen Dritten veräußert, muss der Nutzer die BASF App von dem tauglichen Gerät vor dem Verkauf entfernen.

Die Bestimmungen dieser Nutzungsbedingungen finden auch auf alle Updates und/oder Upgrades, die von BASF zur Verfügung gestellt werden und die die ursprüngliche BASF App ersetzen oder ergänzen, Anwendung, es sei denn, ein solches Update und/oder Upgrade unterliegt einer separaten Nutzungsbedingung. In diesem Fall unterliegt das Update und/oder Upgrade den Bestimmungen der separaten Nutzungsbedingung.

b. Exportkontrolle Der Nutzer darf die BASF App nicht nutzen oder sonst exportieren oder re-exportieren, es sei denn, dies ist von den Gesetzen der USA und den Gesetzen des Landes, in dem die BASF App erworben wurde, erlaubt. Insbesondere darf die BASF App nicht (a) in Embargo-Länder der USA oder (b) an Personen, die auf der "Specially Designated Nationals"-Liste des U.S. Treasury Departments oder auf der "Denied Persons"-Liste oder der "Denied Entity"-Liste des US Departement of Commerce stehen, exportiert oder re-exportiert werden. Mit der Nutzung der BASF App sichert der Nutzer zu, dass er sich nicht in einem dieser Länder befindet und nicht auf einer dieser Listen steht. Der Nutzer wird die BASF App nicht für Zwecke benutzen, die nach dem Recht der USA verboten sind, insbesondere nicht um Nuklearwaffen, Raketen, Chemie- oder Biowaffen zu entwickeln, zu entwerfen, herzustellen oder zu produzieren.

 

2.6    Open Source Komponenten

Die BASF App enthält Open Source-Komponenten von Drittanbietern, die den Bestimmungen für deren Nutzung unterliegen, die zusätzlich zu den Regelungen dieser Vereinbarung gelten. Bei den im Rahmen der BASF App verwendeten Open Source-Komponenten handelt es sich im Einzelnen um die nachfolgend genannten:

Der Nutzer verpflichtet sich, die vorgenannten zusätzlichen Bedingungen im Hinblick auf die Open Source-Komponenten zu erfüllen. Im Falle von Widersprüchen zwischen den Regelungen dieser Nutzungsbedingungen für BASF Apps und den einschlägigen Regelungen der Open Source-Komponenten, so genießen die Regelungen der Open Source-Komponenten in Bezug auf die Open Source-Komponenten Vorrang.

Die Open Source-Komponenten werden – ungeachtet der übrigen Bestandteile der BASF App – dem Nutzer schenkungsweise überlassen.

Der Nutzer erkennt an, dass BASF für solche Schäden, die durch die Open Source-Komponente verursacht wurde, keine eigene Einstandspflicht übernimmt. Hinsichtlich etwaiger Ansprüche hinsichtlich Haftung und Gewährleistung wird auf die vorgenannten Open Source Regelungen verwiesen.

2.7   Datenschutz

Da der Datenschutz innerhalb BASF einen hohen Stellenwert einnimmt, hält sich BASF bei der Erhebung, Nutzung und Verarbeitung von personenbezogenen Daten streng an die gesetzlichen Vorgaben, insbesondere an die Datenschutz-Grundverordnung. Soweit nicht spezifisch über die Verarbeitung personenbezogener Daten durch BASF als verantwortliche Stelle informiert wird, erhalten Sie diese Informationen unter basf.com/datenschutz-eu.

2.8    Kündigung, Wegfall der Nutzungsrechte

Die Lizenz besteht bis zur Kündigung durch den Nutzer oder durch BASF. Zur Kündigung ist sowohl der Nutzer als auch BASF jederzeit berechtigt. Der Nutzer kann seine rechtliche Vereinbarung mit BASF jederzeit aus beliebigem Grund kündigen, indem der Nutzer die App deaktivieren / von seinem Endgerät löscht und die Nutzung der Dienste einstellt.

Die gemäß diesen Nutzungsbedingungen eingeräumten Nutzungsrechte erlöschen im Falle einer Kündigung, sodass der Nutzer nicht länger zur Nutzung der BASF App berechtigt ist. Nach Kündigung der Lizenz muss der Nutzer jede Nutzung der BASF App einstellen und alle Kopien, ob vollständige oder teilweise Kopien, der BASF App zerstören.

2.9   Schutzrechte Dritter

BASF steht dafür ein, dass die BASF App frei von Rechten Dritter ist, die eine Nutzung entsprechend diesen Nutzungsbedingungen einschränkt oder ausschließt. Wird die vertragsgemäße Nutzung durch Schutzrechte Dritter beeinträchtigt, so hat BASF das Recht, entweder die BASF App so abzuändern, dass die Beeinträchtigung entfällt oder die Befugnis zu erwirken, dass die BASF App uneingeschränkt und ohne zusätzliche Kosten für den Nutzer gemäß den Nutzungsbestimmungen genutzt werden kann.

Die Einstandspflicht von BASF bezüglich Schutzrechter Dritter ist in jedem Fall beschränkt auf die BASF App und erstreckt sich nicht auf Drittsoftware, die für die Funktionalität der BASF App erforderlich ist.

Der Nutzer ist in jedem Fall verpflichtet, BASF unverzüglich schriftlich zu informieren, falls die Verletzung von Schutzrechten Dritter gegenüber dem Nutzer geltend gemacht wird.

2.10 Gewährleistung

Für Mängel der BASF App stehen dem Nutzer Gewährleistungsansprüche nur dann zu, wenn BASF diese arglistig verschwiegen hat.

2.11 Haftungsbegrenzung

BASF stellt die BASF App mit angemessener Sorgfalt und lediglich „wie vorhanden“ bereit. BASF gibt im Hinblick auf die BASF App keine Zusicherungen oder Garantien ab. Der Nutzer ist insbesondere selbst dafür verantwortlich, Backups seines Systems einschließlich der BASF App anzufertigen. BASF haftet für Schäden, die durch oder in Folge der Benutzung der BASF App entstanden sind, lediglich für Vorsatz und grobe Fahrlässigkeit.

2.12 Verjährung

Etwaige Schadensersatz- und Aufwendungs-ersatzansprüche des Nutzers verjähren in einem (1) Jahr ab der Installation der BASF App. Die Verjährungsfrist gilt nicht, wenn BASF den Mangel arglistig verschwiegen hat oder aus sonstigen gesetzlichen Gründen zwingend haftet.

2.13 Änderungen von Inhalten der BASF App

BASF behält sich vor, die in der BASF-App angebotenen Leistungen zu ändern, zu modifizieren oder abweichende Leistungen anzubieten, es sei denn, dies ist für den Nutzer nicht zumutbar (z.B. wenn und soweit der Nutzer bestimmte Leistungen  gegen Entgelt erhalten hat).

BASF behält sich darüber hinaus vor, die in den BASF-Apps angebotenen Leistungen zu ändern, zu modifizieren oder abweichende Leistungen anzubieten,

(a)    soweit BASF verpflichtet ist, die Übereinstimmung der von BASF angebotenen Funktionalitäten mit dem auf die Leistungen anwendbaren Recht herzustellen, insbesondere wenn sich die geltende Rechtslage ändert;

(b)    soweit BASF damit einem gegen BASF gerichteten Gerichtsurteil oder einer Behördenentscheidung nachkommt;

(c)    soweit die jeweilige Änderung notwendig ist, um bestehende Sicherheitslücken zu schließen;

(d)    wenn die Änderung lediglich vorteilhaft für den Nutzer ist; oder

(e)    wenn die Änderung rein technischer oder prozessualer Natur ohne wesentliche Auswirkungen für den Nutzer ist.

Änderungen mit lediglich unwesentlichem Einfluss auf die Funktionen der BASF App stellen keine Leistungsänderungen im Sinne dieser Ziffer dar. Dies gilt insbesondere für Änderungen rein graphischer Art und die bloße Änderung der Anordnung von Funktionen.

2.14 Änderungen dieser Nutzungsbedingungen

BASF behält sich das Recht vor, jederzeit diese Nutzungsbedingungen in Bezug auf Äquivalenzstörungen oder Regelungslücken zu ändern und die Nutzung der BASF App durch den Nutzer neuen oder weiteren Nutzungsbedingungen zu unterwerfen, wobei sich die vorgenannten Änderungen ausdrücklich nicht auf den Inhalt der von BASF durch die BASF App erbrachten Leistungen beziehen werden. Solche Änderungen sowie die Gründe für diese Änderungen werden dem Nutzer mitgeteilt, erlangen unverzüglich Wirkung, sobald sie akzeptiert wurden und sind sodann in diese Nutzungsbedingungen integriert. Sofern der Nutzer diesen Änderungen nicht innerhalb von zehn (10) Kalendertagen nach deren Mitteilung widerspricht, wird die Zustimmung des Nutzers hierzu vermutet.

Für den Fall, dass der Nutzer die Änderungen nicht akzeptiert, kann BASF diese Vereinbarung mit dem Nutzer kündigen. Sollte der Nutzer die Änderungen nicht ausdrücklich akzeptieren, die BASF App gleichwohl weiterhin benutzen, gilt dies als stillschweigende Anerkennung der Änderungen.

3.    Spezielle Produktinformationen, weitere Nutzungsbedingungen

Nutzung und Lernzeit

Die BASF App steht grundsätzlich für alle BASF Mitarbeiterinnen und Mitarbeiter („Nutzer“) zur freiwilligen Nutzung offen, soweit dadurch betriebliche Belange nicht beeinträchtigt werden.

Für Nutzer der BASF SE gilt die Nutzung der BASF App als „Veranstaltung mit Eigenbeitrag“ i. S. der BV 75 3.1. Konkret gilt bei einer Nutzung dieser App während der Arbeitszeit

• am Arbeitsplatz / BASF Lernort: Es ist keine zweitwirtschaftliche Ausbuchung erforderlich.
• außerhalb eines BASF Lernorts, insbesondere zu Hause: Es erfolgt keine Zeitgutschrift; es sei denn, zwischen Mitarbeiter und Führungskraft besteht eine Vereinbarung zum mobilen Arbeiten i.S. der BV 31.

Die Nutzung außerhalb der Arbeitszeit stellt keine Arbeitszeit dar und es erfolgt keine Zeitgutschrift. Während der Arbeitszeit am Arbeitsplatz / BASF Lernort ist die BASF Infrastruktur zu nutzen.

Unberührt bleiben ferner die arbeitsvertraglichen Verpflichtungen, zum Beispiel zur Geheimhaltung betrieblicher Informationen.

Authentifizierung und Passwort zurücksetzen

Mit der Differenzierung des Zugriffswegs für BASF-Geräte oder private mobile Endgeräte ist der Schutz des Inhaltes vor dem Zugriff durch Unbefugte gewährleistet. Um die BASF App starten zu können, ist für Nutzer der BASF eine einmalige Authentifizierung erforderlich. Im Registrierungsprozess wird der Nutzer angewiesen, ausschließlich seine BASF E-Mail-Adresse anzugeben. Zur Bestätigung öffnet der Nutzer sein BASF-E-Mail-Postfach und klickt den Registrierungslink, um die Registrierung abzuschließen. Die E-Mail-Adresse wird nach der Registrierung aus den Systemen gelöscht. Für die Anmeldung wird der Nutzer aufgefordert, einen selbstgewählten Nutzernamen oder Nicknamen und ein Passwort zu vergeben, das den BASF Sicherheitsrichtlinien entspricht. Hat der Nutzer sein Passwort vergessen, kann dieses zurückgesetzt und im BASF E-Mail-Postfach abgerufen werden. Die vorliegende App speichert keine personenbezogenen Daten.

Einstellung und Personalisierung

Wählt der Nutzer seine gewünschte Sprache aus, so werden Texte und Video lokal auf seinem Endgerät gespeichert. Spracheinstellungen können vom Nutzer jederzeit geändert werden. Über einen Selbsttest und mit der Angabe eines selbstgewählten Nicknamens personalisiert der Nutzer die BASF App. Damit werden Parameter für eine Lernempfehlung lokal auf dem Endgerät gesetzt und an den Webservice bei BASF übertragen. Ändert der Nutzer im Bereich Einstellungen einen oder mehrere der Parameter (z.B. Sprache, Nickname etc.), werden die eingegebenen Parameter lokal auf dem Endgerät gespeichert und die Parameter an den Webservice übertragen. Bearbeitet der Nutzer die Inhalte einzelner Kapitel, wird der Lernfortschritt lokal auf dem Endgerät aktualisiert und die Parameter werden an den Webservice übertragen. Im Leaderboard-Modul kann der Nutzer eine Übersicht aufrufen, die eine anonymisierten Punktestand im Vergleich zu anderen Nutzern anzeigt.

Anzeige Lernstand

Der Nutzer kann in der BASF App seinen individuellen Lernfortschritt verfolgen. Vorgesetzte oder andere Nutzer haben keinen Einblick auf den Lernstand. Auswertungen werden nur in anonymisierter Form weiterverarbeitet und dienen nicht der Verhaltens- bzw. Leistungskontrolle von Nutzern.

Bei Fragen zur BASF App stehen für BASF Nutzer am Standort Ludwigshafen HRdirekt und für Mitarbeiter außerhalb des Standortes Ludwigshafen HRdirect Europe bzw. regionalen Shared Services zur Verfügung.

Web Analytics

Web Analytics ist ein Modul, welches Informationen über Nutzungsverhalten der App liefert. Hierin können Aussagen zur Anzahl der aufgerufenen Webseiten nach Regionen, Wiederzugriffsrate und meist genutzte Seiten analysiert werden.

4.    Verschiedenes

Diese Nutzungsbedingungen stellen den gesamten Vertrag zwischen dem Nutzer und BASF dar. Diese Nutzungsbedingungen ersetzen etwaige frühere Vereinbarungen zwischen dem Nutzer und BASF.

Sollten einzelne Bestimmungen dieser Nutzungsbedingungen ganz oder teilweise nichtig oder unwirksam sein oder werden, so wird dadurch die Wirksamkeit der übrigen Bestimmungen nicht berührt. An die Stelle von nicht einbezogenen oder unwirksamen Nutzungsbedingungen werden BASF und der Nutzer anstelle der nichtigen oder unwirksamen Bestimmung eine wirksame Regelung treffen, die ihr wirtschaftlich möglichst nahekommt, soweit keine ergänzende Vertragsauslegung vorrangig oder möglich ist.

Das Unterlassen der BASF, ein Recht oder Bestimmungen in dieser Vereinbarung durchzusetzen, begründet keinen Verzicht auf dieses Recht oder diese Bestimmung. BASF ist nicht verantwortlich für die Nichterfüllung von Pflichten aus Gründen, die BASF nicht zuzurechnen sind.

Diese Nutzungsbedingungen und die Nutzung der BASF App unterliegen dem deutschen Recht unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf vom 11. April 1980 („CISG“) und der deutschen Kollisionsregeln.
