When BASF pays a dividend to both ordinary shareholders and ADR shareholders certain tax implications apply. The BASF dividend is subject to a German withholding tax of 26.375% of the gross amount. Under the terms of the Convention for the Avoidance of Double Taxation between the United States of America and Germany, eligible ADR holders may reclaim 11.375%, thereby reducing the withholding tax to 15%.

For dividends paid before the end of 2008, a withholding tax of 21.1% applies on the gross amount of the dividend. Under the terms of the Convention for the Avoidance of Double Taxation between the United States of America and Germany, eligible ADR holders may reclaim 6.1%, thereby reducing the withholding tax to 15%.

ADR holders eligible for the refund must be residents of the U.S. in accordance with the aforementioned Convention. Please contact your Broker or Tax adviser for further information and any applicable U.S. Tax Forms.
